These Terms of Service ("Terms") govern your access to and use of the Northwind Metrics website and platform (the "Service"), operated by Northwind Metrics LLC ("Northwind Metrics," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.
1. The Service
Northwind Metrics is an AI-powered financial reporting and advisory platform that connects to your accounting systems (such as QuickBooks, read-only) to generate dashboards, reports, and AI-assisted insights, and offers white-label options for accounting professionals.
2. Accounts & eligibility
You must be at least 18 and provide accurate information. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Subscriptions, billing & refunds
Paid plans and add-ons are billed on a recurring (monthly) basis through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period. We offer a 14-day money-back guarantee on initial subscriptions as described at checkout. Prices may change with notice; fees are exclusive of taxes, for which you are responsible. Card details are handled by Stripe and never stored by us.
4. For accounting professionals (white-label / reseller)
If you use the Service to provide or resell access to your own clients under your brand, you are responsible for your relationship with, and the conduct of, your clients, for obtaining any necessary consents, and for ensuring your use complies with these Terms and your applicable professional obligations.
5. Third-party services & QuickBooks
By connecting QuickBooks or other third-party services, you authorize us to access the relevant data on your behalf (read-only for QuickBooks). Your use of those services remains subject to their own terms. Northwind Metrics is not affiliated with, endorsed by, or sponsored by Intuit or any third-party provider.
6. Acceptable use
You agree not to: use the Service unlawfully; upload data you lack the right to use; attempt to access other customers' data; probe, scan, or breach security; reverse engineer or copy the Service; resell or use it except as permitted; or interfere with its operation.
7. AI features — not professional advice
The Service uses AI to generate insights, summaries, and suggestions. These outputs are for informational purposes only and are not professional financial, accounting, tax, legal, or investment advice. AI can be inaccurate or incomplete. You are responsible for reviewing outputs and should consult a qualified professional before making decisions. We do not guarantee the accuracy, completeness, or suitability of any output.
8. Intellectual property
We and our licensors own the Service and all related software, content, and trademarks. You retain ownership of the data you provide ("Customer Data") and grant us a limited license to process it to operate and improve the Service. If you send us feedback, we may use it without obligation.
9. Confidentiality & data
We handle Customer Data in accordance with our Privacy Policy. We will not access your data except to provide, secure, and support the Service, or as required by law.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, Northwind Metrics will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.
12. Indemnification
You will indemnify and hold Northwind Metrics harmless from claims arising out of your data, your use of the Service, or your violation of these Terms or law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service. Upon termination, your right to use the Service ends; we will handle your data per the Privacy Policy.
14. Changes
We may modify the Service or these Terms. Material changes will be posted with a new "Last updated" date and, where appropriate, notified. Continued use after changes means you accept them.
15. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in the state and federal courts located in Texas, unless otherwise required by law.
